Acceptance of Terms

By accessing and using the services of Road Guide Logistics ("Company," "we," "our," or "us"), you ("Customer," "you," or "your") agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and Road Guide Logistics.

Service Agreements

Contract Formation

Service agreements are formed when:

  • You submit a service request and we accept it
  • We provide you with a quote that you accept
  • You sign a formal service agreement
  • You use our services with our knowledge and consent

Service Specifications

All services will be performed according to:

  • Specifications agreed upon in writing
  • Industry standard practices
  • Applicable laws and regulations

Customer Responsibilities

Information Accuracy

You are responsible for providing:

  • Accurate and complete shipment information
  • Proper documentation for all shipments
  • Correct delivery addresses and contact information
  • Accurate descriptions of goods being shipped
  • Proper classification of hazardous materials

Packaging and Preparation

You must ensure that goods are:

  • Properly packaged for transportation
  • Adequately protected against damage
  • Clearly labeled and marked
  • Compliant with applicable regulations
  • Ready for pickup at scheduled times

Prohibited Items

You may not ship the following items without prior written consent:

  • Illegal substances or contraband
  • Improperly declared hazardous materials
  • Perishable items without proper arrangements
  • Items prohibited by applicable laws
  • Fragile items without proper packaging

Pricing and Payment

Service Rates

Service rates are determined based on:

  • Distance and route requirements
  • Weight, dimensions, and type of cargo
  • Service level and delivery timeframe
  • Special handling requirements
  • Market conditions and fuel costs

Payment Terms

Unless otherwise agreed in writing:

  • Payment is due within 30 days of invoice date
  • Late payments may incur interest charges
  • We reserve the right to require advance payment
  • Disputed charges must be reported within 30 days

Additional Charges

Additional charges may apply for:

  • Detention time at pickup or delivery
  • Special handling or equipment requirements
  • Storage of goods beyond agreed timeframes
  • Redelivery due to customer unavailability
  • Expedited or emergency services

Delivery and Performance

Delivery Schedules

Delivery timeframes are estimates based on normal conditions. We will make reasonable efforts to meet scheduled delivery times, but delivery schedules are not guaranteed unless specifically agreed in writing.

Factors Affecting Delivery

Delivery may be delayed due to:

  • Weather conditions and natural disasters
  • Traffic congestion and road conditions
  • Equipment breakdowns or mechanical issues
  • Government regulations or border delays
  • Labor disputes or strikes
  • Acts of God or force majeure events

Delivery Confirmation

Delivery is considered complete when:

  • Goods are delivered to the specified address
  • A responsible party signs for the delivery
  • Goods are left at an authorized location
  • Alternative delivery arrangements are made

Liability and Insurance

Limitation of Liability

Our liability for loss or damage is limited to:

  • The actual value of the goods at time of shipment
  • Maximum coverage limits specified in our insurance
  • Statutory limits under applicable transportation laws
  • Declared value if higher coverage is purchased

Excluded Damages

We are not liable for:

  • Consequential or indirect damages
  • Lost profits or business interruption
  • Damage due to improper packaging
  • Normal wear and tear during transit
  • Delays beyond our reasonable control
  • Loss or damage to prohibited items

Claims Procedures

Claims for loss or damage must:

  • Be reported within 24 hours of delivery
  • Include proper documentation and evidence
  • Be submitted in writing within 90 days
  • Include original packaging and invoices
  • Allow for inspection of damaged goods

Force Majeure

We are not liable for delays or failures to perform due to circumstances beyond our reasonable control, including:

  • Acts of God, natural disasters, or severe weather
  • War, terrorism, or civil unrest
  • Government actions or regulatory changes
  • Labor strikes or work stoppages
  • Equipment failures or infrastructure breakdowns
  • Pandemics or public health emergencies

Intellectual Property

All intellectual property rights in our website, software, and materials remain our property. You may not:

  • Copy, reproduce, or distribute our content
  • Use our trademarks or logos without permission
  • Reverse engineer our software or systems
  • Create derivative works based on our materials

Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from:

  • Inaccurate information you provide

Dispute Resolution

Termination

Either party may terminate services:

  • For material breach after 30 days' written notice
  • For insolvency or bankruptcy

  • With reasonable notice for convenience

Effect of Termination

Upon termination:

  • Outstanding obligations remain in effect
  • Payment for completed services is due
  • Goods in transit will be delivered or returned
  • Confidential information must be returned

Modifications to Terms

We may modify these Terms at any time by:

  • Posting updated Terms on our website
  • Providing notice to registered customers
  • Including notice in service communications

Continued use of our services after modification constitutes acceptance of the new Terms.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

Entire Agreement

These Terms, together with any signed service agreements and our Privacy Policy, constitute the entire agreement between the parties and supersede all prior agreements and understandings.
